General Terms and Conditions (AGB)

AMI Intralogistik GmbH
As of September 2026

1. Scope

1.1 These General Terms and Conditions apply to all business relationships of AMI Intralogistik GmbH, in particular to the sale and delivery of products, components, and spare parts, as well as to related services.

1.2 Our offers and services are directed exclusively at business entities as defined in § 14 of the German Civil Code (BGB), as well as at legal entities under public law and special funds under public law. We do not enter into contracts with consumers as defined in § 13 of the German Civil Code (BGB).

1.3 These Terms and Conditions apply both to contracts concluded through our online store and to contracts entered into on the basis of individual offers, orders, or other agreements.

1.4 Individual agreements with the customer take precedence over these General Terms and Conditions. In particular, the information contained in our offer, our order confirmation, and any expressly agreed-upon technical or commercial contract documents shall be decisive.

1.5 The customer’s general terms and conditions shall apply only if we have expressly agreed to their applicability.

2. Offers and Conclusion of Contracts

2.1 Unless otherwise expressly stated, our offers are subject to change.

2.2 A contract is formed upon our confirmation of the order, upon fulfillment of the order, or upon any other express acceptance of the customer’s order.

2.3 When placing an order through our online store, the customer submits a binding offer to enter into a sales contract upon completion of the ordering process. The contract is concluded as soon as we expressly confirm the order or arrange for delivery of the ordered goods.

2.4 Information contained in product descriptions, catalogs, brochures, drawings, and other documents is intended to describe our services. We reserve the right to make technical changes, provided they are reasonable for the customer and do not materially impair the agreed-upon function and quality.

2.5 We reserve all rights of ownership and copyright in illustrations, drawings, calculations, technical documents, and other materials. Such materials may not be reproduced or made available to third parties without our prior consent, unless this is necessary for their intended use.

3. Scope of Services

3.1 The nature and scope of the services to be provided are set forth in the applicable contract, our offer, the order confirmation, and the documents specified therein.

3.2 For custom-designed systems, material handling equipment, automation solutions, and other customer-specific services, the agreed-upon technical requirements and specifications shall apply.

3.3 Any changes or additions to the agreed scope of services require a separate agreement. Any resulting additional or reduced costs, as well as any impact on agreed deadlines, will be taken into account accordingly.

3.4 To the extent that special agreements are made regarding assembly, installation, commissioning, maintenance, or other services, such agreements shall apply in addition to these General Terms and Conditions.

4. Prices and Payment Terms

4.1 All prices are quoted in euros plus the applicable statutory value-added tax, unless otherwise expressly agreed.

4.2 Shipping, packaging, transportation, assembly, installation, customs, and other incidental costs will be billed separately, unless they are already included in the quote.

4.3 The prices agreed upon in the quote or in the order confirmation shall be decisive for billing purposes.

4.4 Unless otherwise agreed, invoices are due for payment without deduction within 14 days of receipt.

4.5 In the event of late payment, the statutory provisions shall apply. In particular, we are entitled to claim statutory default interest as well as any additional costs demonstrably incurred as a result of the delay.

4.6 In the event that circumstances arise after the conclusion of the contract that significantly impair the customer’s solvency or creditworthiness and thereby jeopardize our claims for payment, we may make the continued performance of the contract contingent upon a reasonable advance payment or the provision of security, to the extent permitted by law.

5. Delivery and Delivery Times

5.1 Delivery dates and delivery periods are specified in the respective contract or order confirmation.

5.2 Delivery periods generally begin upon the conclusion of the contract, unless another condition or starting date has been agreed upon. If the customer’s cooperation, technical approvals, advance payments, or other conditions are required, the delivery period shall not begin until such conditions have been fully met.

5.3 Delivery deadlines shall be extended appropriately if delivery or performance is delayed due to circumstances beyond our control. These include, in particular, force majeure, operational disruptions, strikes, government measures, unforeseeable supply bottlenecks, or late or incorrect deliveries by our suppliers, provided that we are not responsible for the disruption in question.

5.4 Partial deliveries are permitted, provided they are reasonable for the customer.

5.5 For custom-manufactured or individually designed products, delivery times may be extended due to necessary technical coordination, approvals, or changes.

6. Shipping, Delivery, and Transfer of Risk

6.1 The type of delivery and the shipping method are determined by the respective agreement.

6.2 Unless otherwise agreed, delivery is ex works.

6.3 In dealings with business customers, the risk of accidental loss or accidental deterioration passes to the customer upon delivery of the goods to the shipping agent, carrier, or any other person designated to handle the shipment.

6.4 If pickup has been agreed upon, the risk passes to the customer when the goods are made available for pickup.

6.5 In the case of agreed-upon assembly, installation, or other services, the time at which risk passes or, if applicable, the time of any required acceptance shall be determined in accordance with the relevant contractual agreement and statutory provisions.

7. The Customer’s Obligations to Cooperate

7.1 The customer must take all necessary actions to ensure the proper performance of the contract in a timely manner.

7.2 In the case of assembly, installation, commissioning, or other on-site services, the customer shall, to the extent agreed upon or necessary, provide the necessary spatial, structural, technical, and organizational conditions.

7.3 This may include, in particular, suitable access and work areas, necessary connections, foundations, on-site modifications, appropriate utilities, and required permits.

7.4 If agreed-upon cooperation is not provided in a timely manner or in full, and if this results in additional expenses or delays, we may take into account the resulting additional costs and schedule changes accordingly.

8. Retention of Title

8.1 The goods we deliver remain our property until the respective amount due has been paid in full.

8.2 With respect to business customers, we reserve title to the delivered goods until all claims arising from the ongoing business relationship with the customer have been paid in full.

8.3 The customer is entitled to resell the goods subject to retention of title in the ordinary course of business, provided that the customer is not in default of payment. The customer hereby assigns to us, in advance, the receivables arising from such resale in the amount of our outstanding receivables at that time. We accept this assignment.

8.4 The customer must notify us immediately if the goods subject to retention of title are at risk due to actions by third parties, in particular seizure.

9. Inspection and Notice of Defects

9.1 Upon receipt, the customer must inspect the delivered goods, in the ordinary course of business, to ensure they are complete and free of visible damage or other obvious defects.

9.2 If the purchase constitutes a commercial transaction for both parties, the statutory provisions—in particular Section 377 of the German Commercial Code (HGB)—shall apply to the obligations to inspect the goods and give notice of defects.

9.3 Hidden defects must be reported immediately upon discovery.

9.4 The notice of defect should contain as much detailed information as possible regarding the affected product, the delivery, and the nature of the defect. Where appropriate, relevant documentation or images should be attached.

10. Rights in the Event of Defects

10.1 We warrant that the goods we deliver are free from material defects and defects of title at the time of transfer of risk.

10.2 In the event of a defect, we initially have the right to remedy the defect. The manner in which the defect is remedied is determined by the applicable legal provisions and the circumstances of the specific case.

10.3 If the remedy fails or is unreasonable for the customer, the customer is entitled to exercise the other statutory rights arising from defects, provided the conditions for such rights are met.

10.4 The statute of limitations for claims for defects in newly manufactured goods against businesses is generally one year from the statutory commencement of the limitation period, unless a longer period is prescribed by law.

10.5 In particular, the above limitation does not apply to claims arising from intentional or grossly negligent breaches of duty, in cases of fraudulent concealment of a defect, claims arising from injury to life, body, or health, and in other cases where the law mandatorily provides for a longer statute of limitations.

10.6 Natural wear and tear and damage occurring after the transfer of risk—in particular due to improper handling, unsuitable operating conditions, excessive strain, or use contrary to the intended purpose—do not constitute a defect, provided that we are not responsible for such damage.

11. Liability

11.1 We are fully liable for damages resulting from intentional or grossly negligent conduct, as well as for damages resulting from injury to life, body, or health.

11.2 In the event of a breach of material contractual obligations due to slight negligence, we shall be liable only for foreseeable and typically occurring damages. Essential contractual obligations are those obligations whose fulfillment is essential for the proper performance of the contract and on whose compliance the customer may reasonably rely.

11.3 In all other respects, liability for breaches of duty resulting from slight negligence is excluded.

11.4 The foregoing limitations of liability do not apply to the extent that they conflict with mandatory statutory liability provisions, in particular those under the Product Liability Act.

11.5 To the extent that our liability is excluded or limited, this also applies to the personal liability of our officers, legal representatives, employees, and agents.

12. Set-off and Rights of Retention

12.1 The customer may set off only those claims that are undisputed or have been legally established.

12.2 The customer is entitled to exercise a right of retention only to the extent that it is based on the same contractual relationship.

13. Customs Duties, Import Duties, and Other Taxes

13.1 For shipments to countries outside the European Union, the customer shall bear the import duties, customs duties, taxes, and other public-law charges incurred in the country of destination, unless otherwise expressly agreed.

13.2 The customer is responsible for complying with the import and other regulations in effect in the country of destination, to the extent that these fall within the customer’s area of responsibility.

14. Withdrawal and Termination of the Contract

14.1 The parties’ right to terminate or rescind the contract is governed by the applicable statutory provisions and the contractual agreements entered into.

14.2 In the case of custom-made or customer-specific products and systems, the services already rendered as of the date of a permissible termination of the contract, as well as costs already incurred and that cannot be avoided otherwise, shall be taken into account accordingly.

14.3 Any further legal claims remain unaffected.

15. Ownership and Intellectual Property Rights in Documents

15.1 Unless otherwise expressly agreed, drawings, designs, plans, calculations, software components, technical documentation, and other materials provided by us shall remain our property, or we shall retain the corresponding rights of use and intellectual property rights.

15.2 The customer may use the documents provided to it solely for the agreed-upon purpose of the contract. Disclosure to third parties is permitted only to the extent that it is necessary for the intended use of the products or services we have provided, or if we have expressly consented to such disclosure.

16. Data Protection

The processing of personal data in the context of our business relationship is carried out in accordance with our currently applicable Privacy Policy.

17. Governing Law

17.1 All contractual relationships between us and the customer shall be governed by the laws of the Federal Republic of Germany.

17.2 The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

17.3 Statutory provisions that are mandatory at the customer’s place of business or at the place of performance remain unaffected, to the extent that their application cannot be validly excluded.

18. Jurisdiction

18.1 If the customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from or in connection with the contractual relationship shall be the registered office of AMI Intralogistik GmbH, to the extent permitted by law.

18.2 The registered office of AMI Intralogistik GmbH is located in 57629 Luckenbach. To the extent permitted by law, the competent court at the company’s registered office shall have jurisdiction. This is the judicial district of the Montabaur Local Court.

18.3 To the extent that exclusive statutory jurisdiction applies, such jurisdiction remains unaffected.

19. Final Provisions

19.1 Amendments and additions to a contract must be made in writing, unless a more stringent form is required by law.

19.2 Should any provision of these General Terms and Conditions be or become invalid, in whole or in part, the validity of the remaining provisions shall remain unaffected.

19.3 Any invalid provision shall be replaced by the applicable statutory provisions. In the event of a gap in the provisions, the legally permissible provision that most closely approximates the economic purpose of the invalid provision shall be deemed to have been agreed upon.
